Terms of Service

Version 2026-10-09 - the string recorded against an account when somebody agrees to this document.

VAMP Terms of Service

  • Version: 2026-10-09
  • Effective date: October 9, 2026
  • Last updated: October 9, 2026

0. Who you're agreeing with

VAMP is made and operated by VAMP Technologies Inc., a Pennsylvania corporation, 502 W 7th St, Ste 100, Erie, PA 16502, USA. In these terms, "we", "us" and "our" mean VAMP Technologies Inc. "You" means the person or company using VAMP.

VAMP has two halves and both are covered here:

  • The desktop app - the program you install on your own computer. It catalogs drives you already own. Your footage stays on your drives.
  • The online service - VAMP at vamp.media (formerly vampedit.com). It holds the searchable catalogs you choose to publish, the low-resolution previews that go with them, and anything you send to someone through VAMP.

Three documents make up the agreement: these Terms, the Acceptable Use Policy, and the Privacy Policy, which explains what personal information we handle and why.

1. Accepting these terms

The desktop app and the online service both ask you to tick a box agreeing to these Terms and the Acceptable Use Policy before you can use them. Ticking it is how you accept. Nothing in VAMP works until you have.

If you don't agree, don't use VAMP. If you're agreeing on behalf of a company, you're confirming you're allowed to bind that company, and "you" means the company.

You must be at least 18 years old to use VAMP.

You must also follow the Acceptable Use Policy, which is part of this agreement. It is short and it is the part that matters most. Breaking it is the fastest way to lose your account.

2. VAMP is young software

VAMP is new and changes often. That means, plainly:

  • Features will change, and some may be withdrawn.
  • Features described on our website may not exist yet or may work differently.
  • We may change limits or pause parts of the service.

Back up your own work. VAMP is designed so your originals never move and never change, and cataloging a drive doesn't alter a file on it. Copying, verifying and offloading make new copies; they don't touch the source. That is how VAMP is built, not a warranty. A catalog, a database, a transcript, a copy or a published catalog can still be lost to a bug, a crash, or a disk that dies. VAMP is not a backup, and it is not a substitute for one. Check that a copy is complete before you erase or reuse the card or drive it came from.

No warranty. The service and the software are provided "as is" and "as available", without warranty of any kind, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that VAMP will be uninterrupted, timely, secure, error-free, or that any data, catalog, copy, verification, transcript, preview, AI result or delivered file will be accurate, complete, or preserved. Some jurisdictions don't allow the exclusion of implied warranties, so parts of this may not apply to you.

3. Your account

  • Accounts are for one person. Don't share your sign-in with anyone else. An invite link is issued to one address and is not transferable.
  • Keep your password to yourself. You're responsible for what happens under your account.
  • Tell us at [email protected] as soon as you think someone else has got into your account.
  • Give us accurate information when you sign up, and keep it current.

4. Your license to use VAMP

The desktop app. We grant you a personal, limited, non-exclusive, non-transferable, non-sublicensable license to install and run the VAMP desktop app on computers you control, for your own business or personal purposes. It is free, and it does not need an account. It continues if you close your VAMP account. It ends only if we terminate it because you broke Section 4.1 or the Acceptable Use Policy (Section 9).

The online service. While your account is open and you're following these terms, you may use the online service and the features of your plan.

That's the whole grant. VAMP is licensed, not sold. We keep all rights we haven't explicitly given you here, including every intellectual property right in the software, the site, the interface, the name, and the look of it. The LICENSE file that ships with the software says the same thing in shorter form; if it and these terms ever conflict, these terms control.

Updates. The desktop app checks our servers for new versions and tells you when one is available. It installs an update only when you choose to. Updates may add, change or remove features. We may stop supporting old versions, and the online service may stop working with a version that is too old to talk to it safely.

Other people's software. VAMP includes open-source components - among them FFmpeg, licensed under the GNU Lesser General Public License - that are licensed to you under their own licenses, not these terms. Nothing here limits your rights under those licenses. The list and the license texts ship with the app, in its legal folder.

4.1 What you may not do

You may not:

  • copy, sell, rent, lease, sublicense, or redistribute VAMP or any part of it;
  • host VAMP as a service for other people, or resell access to your account;
  • reverse engineer, decompile or disassemble VAMP, except where the law says you may despite a term like this one (including as the LGPL permits for the components it covers);
  • remove or obscure any copyright, trademark or attribution notice;
  • use VAMP to build a competing product, or to benchmark it for publication, without our written permission;
  • probe, scan, load-test or attack the service, or try to get around any limit, gate, invite, quota or access control;
  • automate access to the online service beyond ordinary use of the app - no scrapers, no bulk account creation, no scripted invite harvesting;
  • use VAMP in a way that breaks the Acceptable Use Policy.

5. Your footage stays yours

You own your content. Your footage, audio, catalogs, transcripts, tags, names, file names, notes and everything else you bring to VAMP or make with it ("Your Content") stays yours. Nothing here transfers ownership of any of it to us, and nothing here gives us the right to use it in marketing, demonstrations, AI training, or anything else beyond running the service for you.

The license you give us is only the one it takes to run the service. When you use a feature of the online service, you grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, encode, cache, reformat, process and display Your Content, solely to:

  • store and serve the catalog, previews and transcripts you published, to you and to the people you shared them with;
  • transfer a file you chose to send to the person you chose to send it to;
  • run the AI features you ask for (Section 5.4);
  • make backups and keep the service running, secure and diagnosable;
  • do what the law requires of us.

This license lasts only as long as we're holding that content for you. It ends when you delete the content, unpublish the catalog, or your account's closure completes (Section 9), subject to backups aging out within 7 days after that, and to evidence preservation under the Acceptable Use Policy.

What reaches our servers. VAMP is built local-first. Cataloging, previews, local transcription and face detection happen on your own computer, and your original media stays on your own drives. Your Content reaches our servers only when you use a cloud feature:

  • publishing a catalog - its metadata, previews, contact sheets, transcripts, tags, people's names and portrait frames;
  • sending a file or a delivery to someone;
  • phone uploads - footage or photos sent from a phone, held until your computer collects them, and deleted after 30 days if it never does;
  • AI features that run on our servers or on VAMP's AI providers (Section 5.4);
  • comments, requests, shares and invites you write in the online service.

Live playback of a clip to someone you shared with streams directly from your computer to theirs, not through our storage; connecting the two uses public network servers (STUN) operated by Google and Cloudflare, which see both computers' IP addresses. The diagnostic logs in Section 5.2 carry the names and locations of your files, never the files themselves.

5.1 What you're promising us about your footage

You represent and warrant, every time you publish, share, send or process content through VAMP, that:

  • you own it, or you have every right, license, consent and release needed to store it, transmit it, and share it the way you're sharing it;
  • you have the consent of every identifiable person in it that the law requires for what you're doing with it - including the written consent biometric privacy laws require before face recognition is used on them (Section 5.3);
  • storing it and sharing it doesn't break any law, court order, contract, NDA, or release you're bound by;
  • it doesn't break the Acceptable Use Policy.

You are responsible for Your Content. We do not review it before it is stored, and we have no obligation to monitor it - but we may review, remove or block anything at any time when we believe it breaks these terms, the Acceptable Use Policy, or the law.

5.2 Diagnostic logs

VAMP sends us a log of what it does. Once you have accepted these terms, the desktop app records what it is doing - and the online service does the same - and sends that record to us automatically, so we can find and fix problems without asking you to dig out a file. It is always on; it is part of how VAMP is supported. Nothing is sent before you accept.

A log can contain:

  • what VAMP did and when - scanning, copying, verifying, making previews, transcribing, tagging, publishing, sending, updating - and the technical details of anything that failed or crashed;
  • the names and folder paths of the files, folders and drives VAMP worked on. A file name can include the name of a project, a client or a person, and if yours do, the log will too;
  • the VAMP version, the operating system and its version, your computer's name, and a random ID for your installation that tells one machine's log from another's;
  • on the online service, the pages and actions requested of it, any errors, and the email address of an account involved in an action (for example, who a catalog was shared with);
  • each action you take in VAMP that changes something - cataloging a drive, publishing, sharing, signing in - and, on the online service, the email address of the account that took it;
  • for each AI request, which service and model answered, how many tokens it used, what it cost and how long it took. Never the prompt, the frames sent, or the answer.

A log does not contain your footage, audio, frames, previews or thumbnails, the contents of any file, transcript text, comment text, passwords, API keys, or sign-in tokens.

What we do with it. We use diagnostic logs only to find, fix and prevent problems, keep VAMP secure, understand how it is used so we can improve it, and do what the law requires. We don't sell logs, use them for advertising, or use them to train AI models. Logs are stored and processed for us by PostHog, Inc. in the United States (Section 8). Log lines are kept for up to 30 days. The records of actions, AI requests and errors in the list above are kept for up to a year, so we can see how VAMP is used and whether a problem has come back.

Website analytics. Our website counts its visits: which pages were viewed, when, where the visit came from, and the browser, device type and operating system, plus any error a page hits in your browser. It sets no cookies and stores nothing in your browser; a visitor is counted by an anonymous code PostHog derives from the visit, including its IP address, and that code changes every day. The IP address itself is not stored. It records page addresses without the part after a "?" or "#", so sign-in, invite and reset links are never included. It does not record what you click or type, or what you see on the page. Visit records are kept for up to a year.

5.3 Faces and the people in your footage

VAMP can find faces in your footage, group the same person across clips, let you name them, and match a photo of a person to the clips they appear in. To do that it computes a numeric face signature from each face. Under laws such as the Illinois Biometric Information Privacy Act, the Texas Capture or Use of Biometric Identifier Act, Washington's biometric identifier law and the GDPR, that signature can be biometric data about the people you filmed.

  • On your computer, face signatures are made and kept in your local catalog, under your control. Delete the catalog and they go with it.
  • On the online service, publishing a catalog sends its portrait frames, face groupings and the names you gave them; a talent photo sent from a phone is held to match against. We use these only to show your catalog to you and the people you shared it with, and to run the matching you asked for. We never sell them, never use them for any other purpose, and never use them to identify anyone for anyone other than you.
  • Deletion. We destroy face data on the online service when the catalog it belongs to is unpublished (after the 30 days an unpublished catalog is held in case it must be restored), when your account's closure completes, or when the catalog has gone 3 years without being published or reported by your computer - whichever comes first. A talent photo's image is deleted once it has been matched, or after 14 days. Our full retention and destruction schedule is published in the Privacy Policy.
  • Consent is your responsibility. You are the one filming people and choosing to run face recognition on them. Before you do, you must get any notice and written consent the law requires from them (a talent or appearance release that covers face recognition is the usual way), and you must honor their requests to stop. If someone you filmed asks us to remove their face data, we will, and we may tell you we did.

5.4 AI features

VAMP's AI features include keyword tagging, transcription and face matching. Some run on your own computer. Others send content to an AI provider:

  • On VAMP's account. AI keywording through VAMP and keywording run from the website send low-resolution frames (cropped from your previews) to Anthropic; paid website transcription sends the clip's compressed audio proxy to OpenAI. We send them as your service provider, under agreements that do not allow the provider to train on the data. This use is metered against your plan's AI allowance (Section 7).
  • On your own key. If you paste in your own Anthropic or OpenAI API key, frames or audio go to that provider on your account, under your agreement with them.

Neither we nor our AI providers use Your Content to train AI models.

AI output can be wrong. Keywords, transcripts, face groupings and matches are generated by software and will sometimes be inaccurate, incomplete or offensive. Check them before you rely on them, publish them, or make a decision about a person based on them.

6. Anything you send us about the product

If you send us feedback, bug reports, feature ideas or suggestions, we can use them freely, with no obligation and no payment to you. That's not a claim on your footage - it's just so a good idea in an email doesn't turn into a licensing problem later.

7. Fees

Free. Everything VAMP does on your own computer is free: cataloging, previews, transcription, search and verified copies, on as many drives as you like, with nothing that expires.

Subscriptions. The parts that run on our servers or spend on an AI provider for you - sharing through the online service, AI features on VAMP's account, and Pro features - are a paid subscription. Plans, what each includes, and prices are shown on our plans page and at checkout. You are never charged for storing footage, because we do not store it.

  • Billing. Subscriptions are billed in advance, monthly or annually, to the payment method you give us. Prices exclude taxes; you pay any sales, use, VAT or similar taxes that apply, and we'll add them to your bill where we're required to collect them.
  • Automatic renewal. A subscription renews automatically at the end of each period, at the then-current price, until you cancel. We'll remind you before an annual plan renews.
  • Cancelling. You can cancel at any time from your account. Cancelling stops the next renewal; your plan keeps working until the end of the period you've paid for.
  • Refunds. Monthly subscriptions aren't refunded for a partial month. If you cancel an annual subscription, we refund the full months left unused. Where the law gives you a right to cancel and be refunded (for example the 14-day right for consumers in the EU and UK), you have it; by starting to use a paid feature during that period you ask us to begin the service straight away, and a refund may be reduced for what you've already used.
  • AI allowance and overage. Each plan includes a monthly AI allowance, measured in dollars of AI usage at the rates we publish. When it runs out, AI features on VAMP's account stop until the next month, unless you turn on overage. With overage on, further use is charged at the published rates on your next bill. Unused allowance may carry over as your plan describes. AI features run on your own API key don't count against the allowance; you pay that provider directly.
  • Price changes. We'll give you at least 30 days' notice of a price increase, and it takes effect at your next renewal after that, so you can cancel first.
  • Non-payment. If a payment fails and isn't fixed after we tell you, we may pause your paid features. Published catalogs may be unpublished after 30 days unpaid. Your desktop app, and everything on your own computer, keeps working.

8. Companies that help us run VAMP

These companies process data for us, each only to provide their part of the service:

  • Render (United States) - hosts the online service's servers and database.
  • Cloudflare (United States) - network edge and security, storage for published catalogs, previews and delivered files (R2), bot protection on our forms (Turnstile), and connection servers for live playback.
  • PostHog (United States) - stores and processes diagnostic logs and website analytics (Section 5.2).
  • Anthropic and OpenAI (United States) - AI processing on VAMP's account (Section 5.4).
  • Google (United States) - "Sign in with Google", if you use it, and connection servers for live playback.
  • Our email provider - sends account, invite, share and delivery emails.
  • Our payment processor - takes and stores payment details; we never see your full card number.
  • Slack - only if you add VAMP to your Slack workspace; what VAMP posts there is then under Slack's terms and your workspace's settings.

The Privacy Policy keeps the current list, with what each one receives. If you use your own AI API key, that provider is yours, not ours, and what they do with the data is between you and them.

9. Closing an account, suspension and termination

You can stop at any time. Uninstall the desktop app, and close your VAMP account in account settings or by writing to [email protected]. You'll need to unpublish your catalogs first, or ask us to.

What closing does. When you close your account, it stops working at once. We hold it for 30 days, so a closure made by mistake can be undone (write to [email protected]), and then delete it: your account, the sharing access you had, your comments, talent photos, phone uploads and personal settings, and any open requests. Backups age out within 7 days after that. Keywords, transcripts and names you added to a catalog someone else owns stay with that catalog - they're part of their library. A few records outlive the account for the periods in the Privacy Policy: the record of which terms you accepted, the security audit log, and anything we must keep under the Acceptable Use Policy or the law. Your desktop app and everything on your computer are untouched.

We may suspend or terminate your account, your access, or any published catalog:

  • immediately and without notice, if we believe you have broken the Acceptable Use Policy, used VAMP for something illegal, put other people or the service at risk, or if the law requires it;
  • with reasonable notice, for any other breach of these terms that you don't fix;
  • with at least 30 days' notice, if we discontinue the online service or stop serving your region. If you've prepaid, we refund the unused part.

If we terminate for a breach of Section 4.1 or the Acceptable Use Policy, your desktop app license ends too and you must stop using it. Get anything you care about off the online service before you leave - your originals were never on our servers, so what you lose is the catalog and the previews, not the footage.

We may also block an email address from registering, accepting an invite, joining the waiting list, or contacting us, where that address has been used to break these terms.

Sections 4.1, 5, 6, 9, 11, 12, 13 and 15 survive termination, along with anything else that by its nature should.

10. Availability, changes, and support

We may change, suspend or discontinue any part of VAMP. We'll give notice of anything that would obviously hurt if it arrived unannounced.

Support is by email to [email protected]. We usually answer within 2 business days. Support is best effort: there is no service-level agreement, no uptime guarantee, and no service credits.

11. Limitation of liability

To the fullest extent the law allows:

  • No indirect damages. Neither party is liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost business, lost goodwill, or the cost of substitute services - even if told such damages were possible.
  • No liability for lost data. We're not liable for lost, corrupted or unrecoverable catalogs, copies, transcripts, previews, published catalogs, or delivered files. Keep your own copies. Your originals are on your own drives; that's the point.
  • Cap. Our total liability arising out of or relating to VAMP, whatever the theory - contract, tort, statute or otherwise - will not exceed the greater of (a) the total amount you actually paid us in the 12 months before the event giving rise to the claim, and (b) US$100.

Some jurisdictions don't allow some of these exclusions or limits, so parts of this may not apply to you. Nothing here excludes liability for fraud, for death or personal injury caused by negligence, or for anything else that can't lawfully be excluded, and nothing here takes away rights you have as a consumer that can't be waived by contract.

12. Indemnity

You'll defend, indemnify and hold us harmless from any claim, demand, loss, liability, damage, fine, penalty, cost and expense (including reasonable legal fees) arising out of or related to:

  • Your Content, including any claim that it infringes someone's rights, breaches someone's privacy, biometric or publicity rights, or is unlawful;
  • your use of VAMP, including anything done under your account;
  • your breach of these terms or the Acceptable Use Policy;
  • your breach of any law, or of any release, consent, contract or NDA covering your footage or the people in it.

We'll tell you promptly about any claim we want covered, let you control the defense (as long as any settlement that admits fault or costs us anything needs our written agreement), and give you reasonable help at your expense.

13. Export controls and sanctions

You may not use VAMP, or let anyone else use it through your account, in breach of US or other applicable export control or sanctions laws. You confirm that you are not located in, ordinarily resident in, or acting on behalf of anyone in a country or region subject to comprehensive US sanctions (as listed by the US Treasury's Office of Foreign Assets Control from time to time), and that you are not on any restricted-party list, including the US Treasury's Specially Designated Nationals list and the Commerce Department's Denied Persons and Entity Lists.

14. Changes to these terms

We may update these terms. When we do:

  • we'll change the version and the "last updated" date at the top;
  • for a change that materially affects you, we'll give notice - by email to your account address, or in the app - at least 30 days before it takes effect, unless a change has to be immediate for legal or security reasons;
  • you'll be asked to accept the new version before you keep using VAMP. Not accepting means you stop using the service; it doesn't mean you're bound anyway. If you have a paid plan and don't accept, you can cancel and we'll refund the unused part of an annual plan.

We record which version you accepted, when, and from what IP address.

15. Legal odds and ends

Governing law and courts. These terms are governed by the laws of the Commonwealth of Pennsylvania, USA, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these terms or VAMP will be decided exclusively by the state courts located in Allegheny County, Pennsylvania, or the United States District Court for the Western District of Pennsylvania, and both of us consent to their jurisdiction. If you are a consumer in a country whose law gives you the right to bring a claim in your own courts, or to rely on its mandatory consumer protections, nothing here takes that away.

Health and other regulated data. The online service is not built to hold protected health information under HIPAA, and we will not act as anyone's business associate unless we have signed a separate Business Associate Agreement with them. Don't put protected health information on the online service without one. See the Acceptable Use Policy, Section 2.6.

Assignment. You may not assign these terms without our written consent. We may assign them to a successor in a merger, acquisition, or sale of substantially all our assets.

Entire agreement. These terms, the Acceptable Use Policy, the Privacy Policy, and any order or plan you sign up for are the whole agreement between us about VAMP, and replace anything said before.

Severability. If a court finds part of this unenforceable, the rest stands and that part is narrowed to what is enforceable.

No waiver. If we don't enforce something straight away, we haven't given up the right to enforce it later.

Independent parties. Nothing here makes either of us the other's agent, partner, employee or joint venturer.

Force majeure. Neither of us is liable for a delay or failure caused by something genuinely outside our reasonable control.

Notices. We'll reach you at the email address on your account - keep it working. Send legal notices to [email protected] and to our postal address below.
